These Terms and Conditions serve as the User Agreement and Terms of Service (hereinafter referred to as the "Terms & Conditions") between Titanium Online Blockchain Gaming Services, doing business as Titanium Games (hereafter referred to as "Titanium Games" or the "Platform"), and any individual, customer, or entity (hereafter referred to as the "User") engaging with the website, applications, Titanium Games Blockchain, and any products, features, and services offered therein ("Titanium Games Services"). This agreement does not establish any form of agency, partnership, or joint venture between Titanium Games and the User.

By registering for an account on Titanium Games or through any related websites, APIs, or mobile applications, the User acknowledges having read and agrees to these Terms & Conditions, in addition to consenting to the Privacy Policy and adhering to the User Conduct guidelines set forth by Titanium Games. These Terms & Conditions are subject to modification and updates at Titanium Games' sole discretion. Any amendments will become effective immediately upon their posting on the Titanium Games Platform, unless stated otherwise.

The Titanium Platform

Your Account On Titanium Games:

By completing the registration process on Titanium Games, you establish a Titanium Games account ("Account"). Your Account may include billing information you provide to Titanium Games for transactions related to game subscriptions, content, services, and any purchases of physical goods through Titanium Games. You are prohibited from disclosing, sharing, or allowing others to use your password or Account, except as explicitly authorized by Titanium Games. You bear sole responsibility for maintaining the confidentiality of your login and password, as well as for securing your computer system. Titanium Games is not liable for any use of your password and Account or for any communication and activity on Titanium Games that results from your, or any individual's, use of your login name and password, whether you have intentionally or negligently shared your login and/or password in violation of this confidentiality requirement. Titanium Games cannot be held accountable for unauthorized use of your Account by individuals who, without your permission, fraudulently use your login and password, except in cases of negligence or fault on the part of Titanium Games. If you suspect that the security of your login and/or password has been compromised, it is imperative that you notify Titanium Games immediately via [email protected].

Your Account, including any associated information (e.g., contact information, billing information, Account history, subscriptions, etc.), is personal and non-transferable. Consequently, you are not permitted to sell or charge others for the right to use your Account, nor may you transfer your Account. Similarly, you may not sell, charge others for the right to use, or transfer any subscriptions, except as explicitly allowed under this Agreement (including any Subscription Terms or Rules of Use) or as expressly authorized by Titanium Games.

Titanium Games Platform Web App Usage:

The Titanium Games Platform Web App is accessible through supported web browsers on both desktop and mobile devices. Titanium Games ensures that each user is provided with access to our platform, facilitating a secure and efficient environment for engaging with digital content. It's important to clarify that the Titanium Games Platform does not assume custody or control over any Non-Fungible Tokens (NFTs) or digital rewards associated with a user's account. The Web App serves as an interface for transactions that are executed directly on the Ethereum Blockchain or other supported blockchains, without directly storing, sending, or receiving NFTs or rewards. Ownership of Blockchain assets can be attributed to a user's account without the sole transfer of the item until it is claimed.

Users are encouraged to link their existing blockchain wallets, such as MetaMask or Trust Wallet, to their Titanium Games Platform account. This linkage allows for the seamless withdrawal of funds and management of digital assets. Users retain the flexibility to disconnect, reconnect, or switch their linked wallets as needed. For those without a pre-existing blockchain wallet, the Titanium Games Platform offers the option to generate a new wallet, ensuring the secure storage and encrypted handling of private keys. All users are encouraged to maintain the safety of their blockchain wallets and ensure they have 2-FA turned on for maximum security.

While MetaMask and similar wallets enable users to conduct transactions using Ethereum, it's essential to note that such transactions may incur Ethereum network transaction fees, commonly referred to as "Gas fees." Users are responsible for covering these fees for each transaction conducted through third-party electronic wallets.

Titanium Games explicitly states that it does not own, control, or maintain any affiliations with third-party wallet services like MetaMask, Coinbase, or any other external companies, products, or services that users might access or use in conjunction with our platform. Consequently, Titanium Games cannot influence, access, or reverse payments or transactions made through these third-party services and is not liable for any acts, omissions, or damages that may arise from user interactions with these entities.

Moreover, the Titanium Games Platform Web App enables users to engage in transactions, including sending and receiving NFTs or digital rewards among users of the Titanium Platform. However, Titanium Games does not provide services for currency exchange (whether fiat or digital) and does not act as a custodian, exchange, or money transmitter. Our platform is designed to enhance the gaming experience by leveraging blockchain technology for secure, efficient digital asset transactions.

Titanium Games Services:

Titanium Games provides a diverse range of services and features designed to enhance the gaming experience through the integration of blockchain technology. By accessing and using the Titanium Games platform, users agree to engage with these services under the stipulations outlined in this section of the Terms and Conditions.

Titanium Games

Users have access to a curated selection of games, both developed in-house by Titanium Games and by third-party developers. Through Titanium Play, users can discover, purchase, and engage in a variety of gaming experiences directly on the platform.

Titanium Pay

Our proprietary in-game payment system facilitates on-platform transactions, In-game asset staking, wagering and distribution, allowing users to utilize their Titanium Account balances for in-game purchases without incurring traditional blockchain gas fees. Transactions require two-factor authentication for added security, ensuring a safe and seamless spending process.

Titanium Tip

This feature enables users to send and receive funds with other platform users through a simple, secure transfer to the recipient's unique username. These off-chain transactions are immediately reflected in the recipient's account balance and transaction history. All Transfers require 2-FA to be set-up by the user to ensure safety and security of On-platform funds.

Digital Vaults and Assets

Users can deposit cryptocurrencies into secure vaults provided by Titanium Games, including ETH, $TI, and SOL, among others. Digital assets, such as NFTs won or earned within games, are credited to the user's account and stored in the Titanium Digital Asset Vault. These assets can be claimed and transferred to external wallets, subject to applicable gas fees.

User Verification and Approval

For any staking, wagering, or in-game purchasing, users must approve transactions through a direct verification process with Titanium Games. This ensures that all transactions are authenticated and authorized by the user, maintaining transparency and security.

Game Session Pools

In PVP sessions, users can stake coins against other players. The outcome of these sessions results in the distribution of the pooled funds according to predetermined rules, with portions allocated to winners, Titanium Games, and possibly third-party organizations, such as sponsors or creators.

Game Developer & Publisher Launchpad

Titanium Games API can be approved for use in 3rd party games and products, apps, webapps for where there is a use case for in-game crypto purchases or spending. As such Titanium Games provides Game developer and Publishers an agreed launchpad service to help integrate their game with our technology and facilitate users to their gaming ecosystem.

Titanium User Account Features:

In the context of the Titanium Games platform, a user's Titanium account is central to accessing and interacting with a wide array of services and functionalities designed to enhance the gaming experience. Below is a detailed description of the key features associated with a user's Titanium account, which are governed by the platform's Terms and Conditions.

Account Registration and Management

Users must register for a Titanium account to access the platform's services. This account serves as the primary means for users to manage their personal information, security settings, connected wallets, and transaction history.

Cryptocurrency Wallet Integration:

Users have the capability to link their existing cryptocurrency wallets, such as Ethereum and other supported blockchains in the future, to their Titanium account. This pivotal feature enables users to execute seamless transactions, including deposits and withdrawals, directly from and to their platform account balance. The integration underscores our commitment to harnessing the security and efficiency inherent in blockchain technology.

Wallet Connection

This functionality caters to users who possess an established blockchain wallet, including but not limited to MetaMask or Trust Wallet. It allows for the direct linkage of these pre-existing wallets to the user's Titanium account, thereby enabling the withdrawal of funds from the Titanium Games platform. Furthermore, users maintain full control over their linked wallets, possessing the ability to disconnect, reconnect, or substitute their wallets with an alternative at any given time.

Wallet Creation

Titanium Games extends an inclusive approach by offering wallet creation services for users lacking a pre-existing blockchain wallet. This service aims to generate a wallet for the secure storage of digital assets. The associated private key is encrypted and securely stored within our system. As part of our user-friendly onboarding process, individuals will be guided through the steps necessary to unlock their private key (PK) and export their wallet, ensuring users have full control over their digital assets from the onset.

On-Platform Balance

The Titanium account features an on-platform balance, allowing users to deposit cryptocurrencies into the platform's digital vaults. This balance can be utilized for various in-game activities, purchases, and staking without incurring traditional blockchain gas fees. This also allows for items acquired or won to be credited to the users Platform account, ready to claim whenever they decide to do so and paying the gas fee for the transfer of the items from the respective Vault to their chosen on-chain destination.

Transaction History

Users have access to a comprehensive transaction history within their Titanium account. This includes detailed records of games played, deposits, withdrawals, in-game purchases, staking activities, and the outcomes of PVP sessions.

Digital Asset Vault

The Titanium account includes access to a digital asset vault for storing NFTs and other digital assets acquired within the platform. Users can manage, claim, or transfer these assets to their connected wallets, subject to applicable gas fees.

Two-Factor Authentication (2FA)

For enhanced security, the Titanium account supports two-factor authentication. Users are encouraged to enable 2FA to protect their account and digital assets from unauthorized access. Users can select in their user dashboard in "Settings" > "2-FA" on which account actions they want to trigger a two-factor verification.

Communication Preference

Users can manage their communication preferences and opt-in or opt-out of receiving updates, newsletters, and promotional offers from Titanium Games through their account settings.

User Support and Feedback

Users can access support services, submit feedback, or report issues directly through their Titanium account. This feature ensures a direct line of communication between users and the Titanium Games support team.

By creating and using a Titanium account, users agree to abide by the platform's Terms and Conditions, including any obligations and responsibilities associated with the account's features. Titanium Games reserves the right to modify, enhance, or discontinue any account features at its discretion, in accordance with the platform's policies and updates.

Transactions on the Titanium Games Platform:

The Titanium Games Platform supports various transaction types to facilitate the seamless use and management of digital assets and currencies. Each transaction type is governed by specific terms and conditions outlined below:

On-Chain Deposit of Fund

Users can fund their Titanium account by transferring digital currency into the Titanium vault. The equivalent funds are then credited to the user's account on the platform, making them readily available for use within the ecosystem. Such transactions are variable on-chain on the respective chain the transaction is being managed on. Users can view these transactions on their 'Transaction History' page in their user profiles.

On-Chain Withdrawal of Funds

Users may withdraw their off-chain, on-platform funds from their Titanium account. The respective amount is withdrawn from the Titanium Vault and transferred to the user's connected wallet on the blockchain.

On-Chain Top-Up

Utilizing third-party fiat-to-crypto services such as Stripe, users can top up their connected or linked wallets using traditional payment methods. The crypto purchased is directly credited to the user's chosen wallet for immediate use, including covering potential gas fees.

Purchasing Titanium Bundles

Through the "Buy $Ti" page, users can convert traditional payments into stablecoin via a third-party fiat-to-crypto onramp. The stablecoin is deposited into the Titanium Vault, and the user's Titanium account is credited with an equivalent amount of Titanium Coins. This transaction type incurs additional fees charged by the service provider.

Purchasing Other Cryptocurrencies

Similar to purchasing Titanium Bundles, users can acquire other cryptocurrencies through Stripe's fiat-to-crypto onramp. The purchased funds are stored in the respective Titanium Vault, and the user's account is credited with the equivalent amount on the platform. Service provider fees apply.

Allocating Digital Assets

Digital assets stored in the Titanium Digital Asset Vault can be allocated to a user's account, signifying the transfer of ownership without the physical transfer of the asset itself.

Digital Asset Claims

Users can claim digital assets assigned to their account through an on-chain transfer from the Titanium Digital Asset Vault to their chosen connected wallet. Claims can be made individually or in bulk.

On-Platform Balance Transfers

Users have the ability to transfer their balances, whether in specific coins or digital assets, to other users on the platform. To enhance security, this service requires users to have two-factor authentication (2-FA) activated, preventing unauthorized use and ensuring the integrity of transactions. This method of payment is used for In-game transactions, wagers, staking or purchasing tickets, entries, items. Users must verify via our Titanium Approval System for such transactions to be successful. This will be provided as a web link direct to the platform, In the future as a notification on the Titanium companion app and /or as a desktop launcher notification.

For any transaction requiring the use of blockchain technology the User acknowledges and understands that transaction details submitted by the User via the Titanium Games Platform may not be completed or may be subject to delays due to the operations of the underlying blockchain or any other blockchain network utilized to process the transaction. Titanium Games does not guarantee the successful transfer of title or rights in any Non-Fungible Token (NFT) or digital reward, and expressly disclaims any warranties of title of any kind. Once transaction details have been submitted to the blockchain network, Titanium Games is unable to assist the User in canceling or modifying such transaction or details. Users must be aware that Titanium Games does not have control over, nor can it influence, the processing of transactions on blockchain networks, including but not limited to the finality, confirmation, or any potential delays of such transactions.

By engaging in any transaction on the Titanium Games Platform, users agree to abide by these terms and conditions. Users acknowledge that transactions may be subject to fees, security protocols, and compliance with applicable laws and regulations. Titanium Games reserves the right to modify, suspend, or discontinue any transaction type at its discretion, in accordance with platform policies and regulatory requirements.

Wallet Accountability:

Regarding the Titanium Games platform, Titanium Games does not access or retain the passwords, keys, network addresses, or transaction histories of user-owned wallets. Consequently, Titanium Games is unable to assist users with the retrieval of passwords for their personally owned wallets. Users bear full responsibility for memorizing, securely storing, and maintaining the confidentiality of their wallet PINs (passwords), keys, and addresses associated with their user-owned wallets. Should a user forget or fail to secure their wallet's keys and PIN, access to any Non-Fungible Tokens (NFTs) or digital rewards stored within these wallets may be irretrievably lost. Moreover, any third party who gains knowledge of a user's credentials, including but not limited to backup phrases, wallet identifiers, PINs, or keys, may have the ability to manage the NFTs or digital rewards within the user's wallet.

For wallets generated by Titanium Games, we are committed to implementing a secure onboarding process that enables the safe provision of private keys to users. Alternatively, users can directly request their private keys from us. It is crucial to underscore that, while Titanium Games maintains a secure protocol for generated wallets, users are solely responsible for the safety and security of their personally owned wallets and their associated credentials.

Titanium Games currently does not impose fees for the use of its platform, including the initiation, receipt, or storage of digital assets. Nevertheless, Titanium Games reserves the right to introduce service fees in the future. Should any fees be applied, users will be clearly informed of such charges before they are incurred. It is important to note, however, that transactions on blockchain networks utilized by Titanium Games may incur network transaction fees ("Blockchain Transaction Fees"), necessary for processing digital asset transactions across these networks.

While Titanium Games may provide estimates for Blockchain Transaction Fees to aid users, these estimations may not always be precise and could potentially be higher or lower than the actual fees required. Users have the discretion to adjust the fee amount but must understand that they are solely responsible for covering any Blockchain Transaction Fees incurred during their transactions on the supported blockchains. Titanium Games will not cover, advance, or reimburse Blockchain Transaction Fees for users, nor will it be liable for inaccuracies in fee estimations or the consequences of selecting insufficient or excessive transaction fees.

Account Limitations:

Each User on Titanium Games is allowed to maintain only one (1) account, with exceptions being granted solely for asset security purposes. It is explicitly prohibited for a User to operate more than one (1) account for any reason not specified herein, including, but not limited to, participation in promotions/events, for personal gain, or fraudulent purposes.

Should it be found that a User has created more than one (1) account outside of the permitted exception, Titanium Games reserves the right to suspend the User's access to the platform. If Titanium Games determines, at its sole discretion, that a User holds, accesses, or controls multiple accounts, directly or indirectly, all such accounts, including the original, may be temporarily frozen pending an investigation. Following the investigation, Titanium Games may, at its discretion, either terminate the User's access to the platform or allow the User to maintain multiple accounts or consolidate them. During a freeze, the User will be restricted from conducting any transactions. Titanium Games shall not bear any responsibility for losses or damages incurred as a result of account suspension or termination due to breach of these Terms and Conditions.

Online Conduct, Fair Play, and System Integrity:

Your online behavior and interactions with other players on Titanium Games must adhere to our Community Conduct Guidelines. These guidelines are designed to ensure a respectful and fair gaming environment for all users. Additional rules may apply for games or services hosted by third parties, detailed in the Subscription Terms for each specific game or service on our platform.

Titanium Games includes features to identify and prevent the use of software, hardware, or any methods that may provide a player with an unfair advantage in multiplayer games or modifications thereof ("Cheats"). You agree not to create, distribute, or facilitate the use of Cheats in any manner. Furthermore, you commit to not disabling, bypassing, or interfering with any measures implemented to prevent or report Cheating.

You also agree not to tamper with the execution of Titanium Games services, including but not limited to, game functionalities and platform operations, unless expressly authorized by Titanium Online Blockchain Gaming Services. Should you engage in Cheating or tampering, be informed that game hosts or Titanium Games itself may restrict your participation in online multiplayer games or other services.

We reserve the right to report any instances of Cheating or unauthorized tampering to relevant third parties. Such reports will be managed in accordance with the Titanium Games Privacy Policy, ensuring the confidentiality of your personal information.

Titanium Online Blockchain Gaming Services may, without prior notice, restrict or terminate your account or access to certain games if your actions are deemed illegal, involve Cheating, or violate our Community Conduct Guidelines.

The use of Cheats, automation software (bots), hacks, mods, or any unauthorized third-party software to alter or automate gameplay, account creation, or any other interactions with Titanium Games is strictly prohibited, except where explicitly allowed under our terms.

By engaging with Titanium Games, you acknowledge and accept these terms, committing to uphold the integrity and fairness of the gaming experience for all users.

Titanium Games Online Conduct:

As a member of the Titanium Games community, you are expected to uphold the highest standards of digital citizenship, ensuring that your actions contribute positively to the experience of all users on the platform. To maintain a respectful and lawful environment, the following conduct rules apply:

Prohibited Activities

Users must refrain from engaging in any illegal activities, including but not limited to:

• Exploitation of minors
• Theft or fraud
• Promotion of real-world violence
• Creation of false identities for deceptive purposes

Content Restrictions

Users are prohibited from uploading, sharing, or posting content that is illegal or deemed inappropriate, such as:

• Graphic or realistic depictions of violence
• Any content exploiting or harming children
• Sexually explicit material, except as permitted within specific game hubs under applicable guidelines

Respect for Personal Rights

Users must not engage in behavior that infringes upon the personal rights of others, including:

• Doxxing, scamming, or impersonation
• Unauthorized access to other users’ Titanium Games accounts
• Posting defamatory, libelous, or slanderous content

Harassment

Harassment of other users or Titanium Games staff in any form is strictly forbidden. This includes:

• Trolling, baiting, or spamming
• Threats, intimidation, or use of abusive language

Integrity of Titanium Games

Users are expected to respect the integrity of the platform by avoiding actions such as:

• Attacks on Titanium Games servers
• Manipulation of reviews or other platform content
• Unauthorized creation of accounts through automated means

Computer Security

Users must not compromise the security of other users' computers through:

• Distribution of malware, viruses, or other harmful software
• Launching cyber-attacks on other users

Fair Play

Cheating in any form is prohibited, including the use of cheat programs, smurfing, or rank manipulation.

Intellectual Property

Users must respect the intellectual property rights of others and refrain from:

• Uploading content without owning the rights
• Infringing on trademarks, copyrights, patents, or trade secrets

Privacy and Information Gathering

The improper collection or distribution of personal information is not allowed, including:

• Harvesting information about users without consent
• Distributing unsolicited commercial communications

Commercial Activities

Engaging in unauthorized commercial activities is prohibited, such as:

• Advertising or promoting external services
• Buying or selling Titanium Games accounts
• Conducting unauthorized transactions or gambling

By participating in Titanium Games, you agree to these terms and commit to fostering a positive and inclusive gaming environment. Violation of these rules may result in disciplinary action, up to and including account suspension or termination.

Game Results and Dispute Resolution in PVP Sessions

Game Results Integrity:

Titanium Games is committed to ensuring the integrity and fairness of all Player versus Player (PVP) sessions hosted on our platform. Game results are determined by the players' skills, strategies, and in-game actions without interference from Titanium Games. Game logic is held server side, thus cannot be anticipated by any one party.

Reporting Concerns:

If you believe that a game result was affected by cheating, exploitation, or any other form of unfair play, we encourage you to report the game session for review. Please provide a detailed description of your concern, including the game session ID, the usernames involved, and any evidence supporting your claim (e.g., screenshots, video clips).

Review Process:

Upon receiving a report, Titanium Games will initiate a thorough review of the game session in question. This process may involve analyzing game logs, player actions, and any provided evidence. The objective is to determine if any form of misconduct occurred that could have impacted the game's outcome.

Outcome of Review:

If the review finds that the game result was influenced by prohibited behavior, appropriate actions will be taken against the offending player(s), which may include reversing the game result, issuing penalties, suspending accounts, or other measures as deemed necessary by Titanium Games. If the review finds no evidence of wrongdoing, the original game result will stand.

User Cooperation:

Users are expected to cooperate with any investigations by providing additional information when requested. Failure to cooperate may result in the suspension of your account or other penalties.

Final Decision:

Decisions made by Titanium Games regarding the outcome of disputed game sessions are final. Users agree to accept these decisions as binding and will not seek to challenge them through external means.

Preventative Measures:

Titanium Games continuously works to prevent cheating and unfair practices within our platform. We reserve the right to implement new measures and technologies as needed to maintain the integrity of our gaming environment.

By participating in PVP sessions on Titanium Games, users agree to abide by these terms and contribute to a fair, competitive, and enjoyable gaming experience for all players.

$Ti | TItanium22 Token and Security Status

The $Ti token, utilized within the Titanium Games platform, is a digital currency designed to facilitate transactions, staking, and rewards within the gaming ecosystem. It serves as a medium of exchange, allowing users to engage in various platform activities including purchasing in-game items, staking in player vs. player (PVP) sessions, and receiving gaming rewards.

Non-Security Designation:

Nature of $Ti

The $Ti token is created and distributed with the intent of being used as a utility token within the Titanium Games platform. It is designed to be used by gamers and participants on the platform for the purpose of enhancing the gaming experience and facilitating ecosystem transactions.

Regulatory Compliance

Titanium Games asserts that the $Ti token does not constitute a security, investment contract, or any form of financial instrument in any jurisdiction. The distribution, acquisition, and use of $Ti tokens are intended to comply with applicable laws and regulations concerning digital currencies and utility tokens.

No Promise of Profits

Ownership of $Ti tokens does not represent an ownership stake, share, or security in Titanium Games, its underlying technology, or any affiliated entity. The acquisition of $Ti tokens is not intended for speculative investment, and Titanium Games makes no promises or guarantees of profit or appreciation in value of $Ti tokens.

User Acknowledgement

Users of the Titanium Games platform acknowledge and agree that $Ti tokens are to be used as a utility token within the ecosystem and not as an investment. Users are responsible for their own due diligence and compliance with all legal obligations in their respective jurisdictions related to the use and acquisition of $Ti tokens.

The platform employs advanced security measures to protect users' tokens and personal information. Deposits and withdrawals are recorded on the ETH blockchain and are fully transparent. As for Internal Transfers users have access to any such transactional history through their user profiles.

By participating in the Titanium Games ecosystem and using $Ti tokens, users acknowledge their understanding of the token's utility nature and agree to the terms outlined in this section as part of the broader Terms and Conditions of the platform.

The Titanium Games platform is dedicated to providing a diverse selection of games, focusing primarily on skill-based Player vs. Player (PVP) and Player vs. Environment (PVE) gaming experiences. These games are carefully designed to reward players based on their skill, strategy, and in-game achievements, rather than chance or gambling mechanisms. Our platform's purpose is to create a fair and competitive environment where players can enjoy engaging gameplay, improve their abilities, and earn rewards through skillful play. We strictly adhere to this philosophy to ensure our platform remains a space for entertainment, personal growth, and community engagement, avoiding any form of gambling or chance-based reward distribution.

• For any other reason deemed necessary at the sole discretion of Titanium Games.

Upon suspension of a User's access:

• The User remains liable for all incurred fees and charges during the suspension period, including any transaction or operational fees.
• Suspension may affect the User's ability to receive or access any pending rewards or results from games played on the platform.
• Titanium Games may impose a reconnection fee to restore access to the services.

Consequences of Termination:

Upon termination of a User's access:

• All rights granted to the User under this Agreement will cease immediately.
• The User is responsible for all fees and charges accrued up to the date of termination.

Dispute Resolution and Arbitration Agreement

Any dispute, controversy, difference, or claim arising out of or relating to these Terms & Conditions, including the existence, validity, interpretation, performance, breach, or termination thereof, or any dispute regarding non-contractual obligations arising out of or relating to these Terms & Conditions, shall be addressed as follows:

Mediation:

The parties agree to endeavor first to settle the dispute by mediation, administered by the International Centre for Dispute Resolution (ICDR) under its Mediation Rules. The mediation shall take place in a mutually agreed location, or if no agreement can be reached, in Dubai, United Arab Emirates, and conducted in the English language.

Arbitration:

If the dispute cannot be resolved by mediation within a reasonable period, not to exceed sixty (60) days, or if either party chooses not to mediate, then the dispute shall be referred to and finally resolved by arbitration under the Arbitration Rules of the International Centre for Dispute Resolution (ICDR). The arbitration shall be conducted by a single arbitrator, selected in accordance with the ICDR rules. The arbitration shall take place in Dubai, United Arab Emirates, and be conducted in the English language. The decision of the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction.

Costs and Fees:

The prevailing party in any arbitration shall be entitled to recover its costs and reasonable attorney's fees associated with the arbitration proceeding.

Intellectual Property Disputes:

Notwithstanding the above, Titanium Games reserves the right to initiate legal proceedings in any competent court to enjoin the infringement or other misuse of its intellectual property rights.

Jurisdiction for Non-Arbitrable Disputes:

Any disputes that fall outside the scope of this arbitration agreement shall be subject to the exclusive jurisdiction of the State or Federal Courts located in Dubai, United Arab Emirates. Both the User and Titanium Games consent to the personal jurisdiction of these courts.

Class Action Waiver:

To the extent permissible by law, all claims must be brought in the party's individual capacity, and not as a plaintiff or class member in any purported class, collective action, or representative proceeding (collectively "Class Action Waiver"). The arbitrator may not consolidate more than one person's claims or engage in any class arbitration. By agreeing to these Terms & Conditions, each party waives the right to a trial by jury and the right to participate in a class action.

THE TITANIUM GAMES PLATFORM, ITS CONTENT, SERVICES, ANY GAMES OR SUBSCRIPTIONS, AND ANY INFORMATION AVAILABLE IN CONNECTION THEREWITH ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, "WITH ALL FAULTS" AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ANY WARRANTY AGAINST INFRINGEMENT THAT MAY BE PROVIDED IN SECTION 2-312 OF THE UNITED STATES UNIFORM COMMERCIAL CODE AND/OR IN ANY OTHER COMPARABLE STATE STATUTE IS EXPRESSLY DISCLAIMED. FURTHERMORE, THERE IS NO WARRANTY OF TITLE, NON-INTERFERENCE WITH YOUR ENJOYMENT, OR AUTHORITY IN CONNECTION WITH THE TITANIUM GAMES PLATFORM, ITS CONTENT, SERVICES, ANY GAMES OR SUBSCRIPTIONS, OR INFORMATION AVAILABLE IN CONNECTION THEREWITH.

B. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER TITANIUM GAMES, ITS LICENSORS, NOR THEIR AFFILIATES, NOR ANY OF TITANIUM GAMES’ SERVICE PROVIDERS, SHALL BE LIABLE IN ANY WAY FOR LOSS OR DAMAGE OF ANY KIND RESULTING FROM THE USE OR INABILITY TO USE THE TITANIUM GAMES PLATFORM, YOUR ACCOUNT, ANY GAMES, SUBSCRIPTIONS, AND THE CONTENT AND SERVICES INCLUDING, BUT NOT LIMITED TO, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL TITANIUM GAMES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR ANY OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE TITANIUM GAMES PLATFORM, ITS CONTENT AND SERVICES, ANY GAMES OR SUBSCRIPTIONS, AND ANY INFORMATION AVAILABLE IN CONNECTION THEREWITH, OR THE DELAY OR INABILITY TO USE THE CONTENT AND SERVICES, ANY GAMES OR SUBSCRIPTIONS OR ANY INFORMATION, EVEN IN THE EVENT OF TITANIUM GAMES’ OR ITS AFFILIATES’ FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF WARRANTY, OR EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS AND EXCLUSIONS OF LIABILITY APPLY EVEN IF ANY REMEDY FAILS TO PROVIDE ADEQUATE RECOMPENSE.

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH JURISDICTIONS, TITANIUM GAMES, ITS LICENSORS, AND ITS AFFILIATES’ LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER TITANIUM GAMES NOR ITS AFFILIATES GUARANTEE CONTINUOUS, ERROR-FREE, VIRUS-FREE, OR SECURE OPERATION AND ACCESS TO THE TITANIUM GAMES PLATFORM, ITS CONTENT AND SERVICES, YOUR ACCOUNT, ANY GAMES OR SUBSCRIPTION(S), OR ANY INFORMATION AVAILABLE IN CONNECTION THEREWITH.

Language Provision

All communications, notices, and any documentation provided under or in relation to these Terms & Conditions must be in the English language. In the event that Titanium Games offers a translation of the English language version of these Terms & Conditions or any other communication, the original English language version will prevail in the case of any discrepancies or conflicts.

Severability

If any portion of these Terms & Conditions is held to be invalid or unenforceable, the remaining portions will remain in full force and effect.
